China’s HNA has agreed to buy Ingram Micro, a US information technology company, for $6bn in the largest Chinese takeover of an American IT group.

中国海航(HNA)已同意以60亿美元收购美国信息技术企业英迈(Ingram Micro)，创下中国企业收购美国IT集团最高纪录。

California-based Ingram said it had agreed to be bought by Tianjin Tianhai, which is part of HNA, for $38.90 a share in an all-cash deal. The price represents a 31 per cent premium¹ to Ingram’s closing price on Wednesday.

位于加州的英迈宣布已同意由天津天海投资(Tianhai)以每股38.9美元全现金收购，这一价格比英迈周三收盘价高出31%。天海投资是海航子公司。

HNA’s purchase is the latest in a series of large overseas deals by Chinese companies.

The Chinese mergers² and acquisition spree outside of the domestic market comes at time when its economy is growing at it lowest pace in three decades.

However, some deals have hit regulatory snags recently.

US regulators have blocked the $3.1bn sale of a lighting³ unit controlled by Philips, the Dutch conglomerate⁴, to a Chinese buyer over unspecified concerns.

Fairchild Semiconductor⁵, a US chipmaker, turned down a cash-rich offer from a Chinese rival as it feared that the deal might be rebuffed by US regulators over national security concerns.

Despite the regulatory risks faced by Chinese companies buying foreign assets, international advisers⁷ expect them to press ahead with deals this year.

“Given the economic situation in China they will try their best to buy quality assets in the US and Europe,” said a banker.

HNA, a conglomerate with interests in shipping⁸, logistics and tourism, has executed a series of acquisitions as it expands its global presence.
